We provide AI application development services, including but not limited to web development, SEO, and digital marketing. The specific services will be outlined in the agreement between you and our agency.

3. User Responsibilities

3.1. You are responsible for providing accurate and complete information necessary for the provision of our services.

3.2. You agree to use our services only for lawful purposes and in accordance with these Terms.

3.3. You are responsible for maintaining the confidentiality of any login information associated with your account.

4. Intellectual Property Rights

4.1. All intellectual property rights in the services and any content produced by us remain our property or that of our licensors.

4.2. Upon full payment, you will be granted a non-exclusive, non-transferable license to use the deliverables for the purposes outlined in our agreement.

5. Payment and Fees

5.1. Fees for our services will be as quoted to you and as agreed upon in our contract.

5.2. Payment terms will be specified in our agreement. Failure to make timely payments may result in suspension or termination of services.

6. Confidentiality

6.1. We will maintain the confidentiality of any proprietary information shared by you in the course of our engagement.

6.2. You agree to keep confidential any proprietary information about our services, methodologies, or business practices.

7. Limitation of Liability

7.1. To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of our services.

7.2. Our total liability for any claim arising out of or relating to these Terms or our services shall not exceed the amount paid by you for the services giving rise to the claim.

8. Warranties and Disclaimers

8.1. We warrant that we will provide our services with reasonable care and skill.

8.2. We do not warrant that our services will be uninterrupted, error-free, or will achieve any specific results.

9. Termination

9.1. We reserve the right to terminate or suspend your access to our services for any reason, including breach of these Terms.

9.2. Termination procedures and any applicable fees will be as specified in our service agreement.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes as required by law.

11. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ontario, Canada.

You agree to indemnify and hold us harmless from any claims, losses, or damages, including legal fees, resulting from your use of our services or violation of these Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect and enforceable.

14. Entire Agreement

These Terms, together with any other agreements entered into between you and us, constitute the entire agreement between you and AGIQuantron Technologies with respect to your use of our services.
